Terms & Conditions for Media Submissions

Terms & Conditions agreement for the collection and use of User Content by The Natural Adventure Company Limited

For the purposes of these Terms & Conditions, “User Content” refers to the videos, photos, social media posts, reviews, or any other form of content that you have submitted or will submit to the website of The Natural Adventure Company’s client (“The Natural Adventure Company Limited”) as part of their UGC uploads.

For the purposes of these Terms & Conditions, “We”, “Us”, or “Our” means “The Natural Adventure Company Limited” and/or licensed parties.

1. User Content (UGC Uploads)

Any images, videos, reviews, captions, ideas, suggestions, or any other content (“User content”) that you submit to the website of The Natural Adventure Company’s are provided on a non-confidential basis. By submitting the User content to website of The Natural Adventure, you are granting The Natural Adventure Company (The Natural Adventure Company Limited) an irrevocable, non-exclusive, unrestricted, worldwide, royalty-free, perpetual, transferable license to use, broadcast, display, publish, reproduce, distribute, modify, translate, adapt, exhibit, disperse, or other use of User Content for the purpose of but not limited to advertising, promotion, marketing, promotional campaigns, or any other purpose whatsoever, and in any form of media whatsoever, now or hereinafter existing or developed, even if these terms & conditions are later modified or terminated.

By submitting User content, you are explicitly providing the ownership rights of User content to The Natural Adventure Company (The Natural Adventure Company Limited) Hereafter, The Natural Adventure Company (The Natural Adventure Company Limited) is free to use the User content as a whole or in parts for any purpose. Also, you grant The Natural Adventure Company (The Natural Adventure Company Limited) the rights to freely use your submitted “Name” & “Email” as part of User content, for any purpose in connection with User content, but The Natural Adventure Company (The Natural Adventure Company Limited) will not be obligated to provide any reference or identify you while using the User content.

You agree that The Natural Adventure Company (The Natural Adventure Company Limited) is free to use or leverage any suggestions, ideas, knowledge, concepts, and information contained in User Content as per The Natural Adventure Company (The Natural Adventure Company Limited) discretion at any time or in any manner, without providing any compensation or credibility to you whatsoever.

You agree that User content does not violate any right of privacy, ownership, copyright, trademark, intellectual property, any third party, and/or any other rights. You also agree that you will be solely responsible for the User content submitted by you on  The Natural Adventure Company (The Natural Adventure Company Limited) site.

2. Your responsibilities

As a part of this agreement, you validate and declare that:

• You are above the age of 16 Years
• “Your Content” does not infringe upon the privacy, intellectual property, publicity, personal, statutory, contractual or other rights of any person, organization, or the law.
• You have complete authority & rights to enter into this agreement
• You have or have obtained all the rights & legal powers to grant permission and rights to the licensee and/or licensed parties.

3. Indemnity

You agree to defend, indemnify, and hold the licensee & licensed parties, their respective employees, representatives, and directors, harmless from and against any or all claims, proceedings of any kind and any liabilities, damages, expenses, and costs relating to or arising out of “User content”, your breach, and alleged breaches of these Terms & Conditions including your agreement, warranties, representations hereunder your violation of rights of any person or entity or your violation any law.

4. Miscellaneous

The remaining provisions would not be affected in case of an event where any provisions of these Terms & Conditions shall be held to be enforceable in any jurisdiction.

Nothing mentioned here in this agreement shall deem or interpret that you and “The Natural Adventure Company Limited” to be joint ventures, partners, employer-employee, principal-agent, and no party shall have any authority to bind or obligate the other whatsoever.

These Terms & Conditions exhibit the complete agreement between you and “The Natural Adventure Company Limited” with respect to the subject matter hereof and supersedes all prior understandings, agreements, conditions or inducements, oral or written, implied or expressed.

Unless in writing and signed by both you and The Natural Adventure, no waivers, modifications, and amendments will be effective to this agreement.
